Status and provider
LumaGrid is a hosting service operated by DELISOFT - FZCO, Trade Licence No. 29073, licensed by the Dubai Integrated Economic Zones Authority in Dubai, United Arab Emirates.
Scope
These terms govern access to the LumaGrid website, account area, order flow, hosting services, support and related managed work. The order summary, tariff, acceptable use policy, service delivery policy, refund policy, support policy, SLA and any signed order form form part of the agreement.
Eligibility and authority
You must have legal capacity to enter the agreement. If you order for an organization, you confirm that you are authorized to bind it and provide its billing information.
Accounts
You must provide accurate information, protect your credentials, use individual access where available and notify LumaGrid of suspected compromise. LumaGrid may require verification before accepting your order or changing sensitive account information.
Orders and acceptance
Submitting the website order records your request and does not itself create a paid service. Delisoft reviews your workload and billing details, may request clarification, and emails you an invoice or pro forma invoice. A paid service begins only after order acceptance and reconciliation of your bank transfer. Unsupported, unclear, risky or prohibited workloads may be rejected.
Prices, taxes and renewal
The catalog price, currency and billing period appear in your order summary. Your invoice states the tax treatment that applies to you, any approved additional charge, payment due date and renewal terms. Delisoft will not substitute a different catalog price after acceptance without your agreement, except for future renewals after the notice required by applicable law and the tariff.
Payment
Payment is made by EUR bank transfer to the Delisoft account stated on your invoice. You must use the exact invoice reference. LumaGrid does not ask for or store card numbers, CVC/CVV, online-banking passwords or one-time codes. Service activation waits for reconciliation of your transfer against the accepted invoice.
Delivery
Hosting is a digital service. Delivery and activation follow the service delivery policy and your selected tariff. Delays in supplying code, domain access, content, credentials or required approvals can delay your setup.
Your material
You retain ownership of your code, content and data. You grant LumaGrid the limited rights needed to host, copy, transmit, back up, troubleshoot and protect that material while providing the service. You must hold all necessary rights and permissions.
Your responsibilities
You are responsible for application behavior, lawful content, third-party accounts, messaging permissions, domain ownership, secret rotation, data accuracy and use within the tariff limits. LumaGrid does not become the publisher or controller of material you host merely by providing infrastructure.
Acceptable use
The acceptable use policy applies to every service. LumaGrid may investigate, restrict or suspend activity that creates security, legal, payment, provider, reputation or stability risk.
Security and backups
LumaGrid applies reasonable controls appropriate to the selected service. No system is risk-free. Backup scope, frequency, retention and restoration assistance exist only when expressly included in the tariff; you should keep independent copies of important data.
Third-party services
Infrastructure, domain, banking, email, monitoring and software providers may be needed to deliver the service. Their outages, terms and changes can affect LumaGrid. LumaGrid remains responsible only to the extent required by the accepted order and mandatory law.
Support and SLA
Support scope and response targets are defined by the tariff and support policy. Availability commitments and service credits apply only when an approved SLA expressly states them.
Suspension
LumaGrid may suspend or restrict a service for non-payment, security incidents, abuse reports, prohibited use, urgent provider requests, legal obligations, material breach or resource use that threatens the platform. Where reasonably possible, LumaGrid will explain the reason and remediation path.
Cancellation and termination
You may cancel future renewals through your account or the published support channel. Termination does not erase accrued charges or legal obligations. LumaGrid may terminate for unresolved material breach, repeated abuse, fraud, unlawful use or inability to provide the service.
Data on exit
The tariff or service delivery policy must state the export and deletion window. You are responsible for exporting your data before that window ends. LumaGrid may retain limited records for billing, security, dispute and legal obligations.
Warranties
LumaGrid will provide accepted services with reasonable care and skill. Unless an approved tariff or mandatory law states otherwise, services are not guaranteed to be uninterrupted, error-free or suitable for safety-critical, regulated or high-risk use.
Liability
To the extent permitted by law, Delisoft’s aggregate liability arising from an affected service during any twelve-month period is limited to the fees paid for that service during the same period. This limit does not apply to fraud, wilful misconduct or any liability that cannot lawfully be limited. Neither party is liable for indirect or consequential loss that was not reasonably foreseeable when the order was accepted.
Changes
LumaGrid may update these terms for security, legal, provider or service changes. We will notify you of material changes affecting an active paid service as required by the accepted tariff and applicable law.
Law and disputes
These terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. The courts of Dubai have jurisdiction, unless mandatory consumer law gives you the right to use another competent forum. You should first submit a complaint through Support so the parties can try to resolve it promptly. Nothing in this document removes rights or remedies that cannot lawfully be excluded under applicable consumer, data-protection or other mandatory law.
